AbbVie will acquire Apogee Therapeutics in a $10.9 billion cash deal to deepen its immunology portfolio & expand its respiratory & inflammatory disease

AbbVie has agreed to acquire Apogee Therapeutics in a cash deal valued at about $10.9 billion, marking one of its biggest acquisitions in recent years and deepening its immunology portfolio. The transaction is designed to strengthen AbbVie’s position in inflammatory and respiratory diseases, including atopic dermatitis and asthma.

Under the agreement, AbbVie will pay $135.11 per share in cash for each Apogee share, representing a premium of nearly 50% to the biotech company’s recent closing price. The deal has been approved by the boards of both companies and is expected to close in the third quarter of 2026, subject to shareholder and regulatory approvals.

AbbVie Chief Executive Officer Robert Michael said, “Apogee’s portfolio of highly differentiated clinical-stage assets complements our immunology pipeline and accelerates our presence in the respiratory space.”

The acquisition gives AbbVie access to Apogee’s lead candidate, zumilokibart, which is being developed for moderate-to-severe atopic dermatitis and asthma. Apogee also brings other clinical-stage programs that AbbVie says could broaden its long-term immunology strategy.
